THE SUNBIZPRO FIELD GUIDE

Florida Registered Agent Requirements for an LLC

Choose an eligible person or business, understand the address requirement, and keep the appointment current.

A Florida LLC must designate and continuously maintain a registered agent and registered office in Florida. The agent receives service of process and other covered notices for the business. The office must have an eligible Florida street address. These are ongoing responsibilities, not details to complete once and forget. See Florida Statutes section 605.0113.

SunbizPro does not provide registered-agent service. You select and authorize your agent before a formation filing is submitted. SunbizPro is operated by Aurelian Advisory Group LLC and is independent of Florida's official Sunbiz service.

Who can be a registered agent?

The statute permits a Florida-resident individual, another qualifying domestic entity, or a qualifying foreign entity authorized in Florida. The agent's business address must match the registered-office address. The agent must accept the appointment. Its duties include forwarding covered process, notices, or demands to the LLC at the address the LLC has supplied. Read the statutory requirements.

An individual associated with the LLC can serve when eligible, but the LLC cannot list itself as its own registered agent. The Division's registered-agent explanation describes the registered office as the location where the agent is available during normal business hours and says a post office box is unacceptable.

Compare your practical options

OptionQuestions to resolve
You or another eligible individualCan the person reliably receive documents at the Florida office? Who handles delivery when they travel, move, or change roles?
A commercial registered-agent providerWhat does the annual price include? How quickly are documents forwarded? What are the renewal and cancellation terms?
Another eligible business entityHas it agreed to act? Is its Florida filing or registration active? Who will monitor and forward your documents?

Ask for the exact legal name and office address to place on the filing. Keep the acceptance and service agreement with your business records. Avoid choosing only by introductory price: reliable delivery and a clear contact process matter when a time-sensitive document arrives.

Keep the agent address separate from other addresses

Your principal-office address, mailing address, and registered-office address serve different purposes. Florida's formation instructions permit a post office box for a mailing address, while the registered agent needs a physical Florida street address. Complete each field according to its instructions. See the official LLC filing instructions.

A commercial agent's address is not automatically available for every business purpose. Before using it for bank correspondence, customer returns, or your principal office, ask what the provider actually authorizes. A registered-agent appointment also does not make the provider your owner, manager, accountant, or attorney.

Understand the state fee and provider charge

Florida's $125 formation total includes a $100 filing fee and $25 registered-agent designation fee. That $25 is paid to the state; it does not purchase a private agent's services. A hired provider sets its own charges and renewal terms. Florida separately lists a $25 change-of-registered-agent filing fee. See the LLC fee schedule and our Florida LLC cost guide.

Frequently asked questions

Can I use the business name as its own agent?

No. Select an eligible person or another eligible entity. An owner can serve individually when qualified; that is different from appointing the LLC itself.

Can I change agents later?

Yes. Use the appropriate state change filing, or update the agent when filing an annual report where applicable. A new agent must accept the appointment and provide the required signature. The annual-report instructions explain that acceptance. Coordinate the handoff so the records and actual delivery arrangements stay aligned.

What should I check before submitting my LLC?

Confirm the agent's spelling, eligible address, acceptance, and forwarding contact. Double-check the appointment with the agent rather than guessing a signature. Then review the formation steps. If you are new to LLCs, our LLC overview explains the structure.
