To change the legal name of an existing Florida LLC, file Articles of Amendment with the Florida Division of Corporations. The filing fee is $25. Sunbiz provides the Florida LLC amendment form and instructions. This changes an existing company's record; it is not a new LLC formation.
Start with the company you already have
Open your current Sunbiz record and save a copy before preparing the change. Check the exact legal name, document number, and original filing date. A similarly named business is not necessarily yours. This guide addresses an ordinary Florida LLC; an LLC formed elsewhere should use the process applicable to its foreign registration.
Decide whether you want a different legal company name or are only planning a new public-facing brand. Write that decision down before ordering signs or changing invoices. A domain purchase, social-media handle, and logo project do not themselves amend the state's record.
Check the proposed name before committing to it
The amendment instructions require a distinguishable name ending in Limited Liability Company, L.L.C., or LLC. Search the proposed wording and close variations. Treat the search as a preliminary filing check, not an approval or trademark-clearance decision. Keep a backup choice so a problem with the first name does not force a rushed branding decision.
For example, a fictional business changing from Gulf Desk Services LLC to Gulf Studio Services LLC could prepare its proposed amendment and a list of affected accounts together. It should avoid promising customers that the change is complete merely because the preferred domain is available.
Prepare the amendment and approval record
Florida Statutes section 605.0202 identifies the basic amendment information: the current company name, original Articles of Organization filing date, the amendment itself, and any delayed effective date. Use the current form rather than assembling an informal email request.
- Copy existing identifying information from the company's filed record.
- Enter the complete proposed legal name consistently, including its LLC ending.
- Check your operating agreement and retain whatever internal approval your company requires.
- Identify the person authorized to sign and arrange that person's signature.
- Review whether you actually need a delayed effective date.
The form calls for a member's or authorized representative's signature. Its instructions permit a specific future effective date no more than 90 days after filing, not a date before filing. Follow the current document's payment and delivery instructions, keep a complete submission copy, and distinguish a payment or mailing receipt from confirmation that the amendment was filed.
Coordinate the records after filing
Once the amendment is accepted and effective, use the filed document as your reference when contacting organizations that hold the old name. A simple worksheet can have four columns: account, contact person, requested evidence, and completion date.
- Ask the bank and payment processor how they update an existing business account.
- Review insurance, licenses, vendor records, and customer agreements for name-update requirements.
- Update approved invoice templates, proposals, email signatures, and website legal details.
- Keep the old and new names together in your internal history so older receipts remain understandable.
Do not assume every account updates automatically from Sunbiz or that each organization accepts the same supporting document.
Handle the IRS update separately
The IRS business-name-change guidance uses different notification routes depending on the business's tax treatment and whether the relevant return has already been filed. Some changes are reported on a current return; others require a signed letter. An LLC should confirm the appropriate route for its federal classification rather than selecting a corporate form just because it is a company.
A name-only change generally does not require a replacement EIN, according to the IRS EIN guidance. Ownership or structural changes raise separate questions. Keep the state amendment and federal acknowledgment with your permanent business records.
